Gap2Skill – Terms of Service

1. Overview

Gap2Skill is a career development and upskilling platform designed to help students, jobseekers, and upskillers close the “assimilation debt” created by rapidly evolving technology. The Platform uses a structured 6‑Step workflow to help users understand their skills, identify gaps, receive recommendations, build a career narrative, and create a personalized action plan.

A “User” means any individual or entity that accesses or uses any part of the Services.

2. No Career, Legal, or Professional Advice

Gap2Skill provides informational and educational content only. We do not provide legal advice, career guarantees, employment placement, professional certifications, or financial advice. All insights, recommendations, and outputs generated by the Platform or through AI‑assisted features are for informational purposes only. You are solely responsible for your career decisions.

3. Acceptance of Terms

These Terms become effective on the earlier of: (a) the date you first accept or agree to these Terms, or (b) the date you first access or use the Services. By using the Services, you confirm that you have the authority to enter into these Terms on your own behalf or on behalf of the entity you represent.

Gap2Skill may update these Terms at any time by posting the revised version on the Website. Continued use of the Services after changes are posted constitutes acceptance of the updated Terms.

4. Scope of Services; Fees

Scope and Availability

Gap2Skill provides access to the Platform and Website as a service to Users. You are responsible for obtaining the necessary equipment and internet connection to access the Services. We may modify, suspend, or discontinue any part of the Services at any time without notice.

Fees

• The Platform is free during beta.
• Gap2Skill may introduce paid tiers, subscriptions, credits, or premium features in the future.
• All fees will be clearly disclosed before purchase.
• Payments may be processed through third‑party payment processors, which have their own terms and privacy policies.

Third‑Party Services

The Services may integrate with or rely on third‑party tools (for example, LinkedIn links or AI‑generated outputs). Gap2Skill is not responsible for the availability, accuracy, or functionality of third‑party services.

5. User Accounts and Responsibilities

Account Information

To access certain features, you must create an account and provide accurate, complete, and up‑to‑date information.

Login Credentials

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You may not:

• Create more than one account;
• Share your login credentials with others;
• Transfer your account to another person.

Notify us immediately if you suspect unauthorized access to your account.

Age Restrictions

Gap2Skill is available only to individuals 13 years or older. Users under 18 must use the Services under the supervision of a parent or legal guardian.

6. Intellectual Property Rights

Our Content

All text, graphics, software, and other content provided by Gap2Skill (“Gap2Skill Content”) are owned by Gap2Skill or its licensors. You may not copy, modify, distribute, or create derivative works of Gap2Skill Content without our prior written permission.

User Content

“User Content” includes, for example:

• Resume uploads;
• Step responses;
• Skills, goals, and preferences;
• AI‑generated outputs stored in your account.

You retain ownership of your User Content.

License to Gap2Skill

By using the Services, you grant Gap2Skill a limited license to use your User Content solely to:

• Provide and improve the Services;
• Generate insights, recommendations, and outputs;
• Maintain your historical data;
• Support your 6‑Step workflow.

Gap2Skill does not use your data to train external AI models.

7. Prohibited Conduct

You agree not to:

• Interfere with or disrupt the Services or underlying infrastructure;
• Upload harmful, abusive, or unlawful content;
• Misrepresent your identity or qualifications;
• Attempt to reverse engineer or decompile the Platform;
• Use the Services for commercial solicitation or spam;
• Introduce malware, bots, or scraping tools;
• Use the Services to generate harmful, misleading, or deceptive content.

Gap2Skill may suspend or terminate accounts that violate these Terms.

8. Fees and Taxes

If paid features are introduced, you are responsible for all applicable taxes on amounts paid, except for taxes based on Gap2Skill’s net income.

9. Disclaimer of Warranties

The Services are provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied. Gap2Skill does not guarantee:

• The accuracy or completeness of recommendations or outputs;
• Job placement or employment outcomes;
• Error‑free or uninterrupted service;
• That defects will be corrected.

You use the Services at your own risk.

10. Indemnification

You agree to indemnify and hold harmless Gap2Skill and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or related to:

• Your use of the Services;
• Your User Content;
• Your violation of these Terms;
• Your infringement of any third‑party rights.

11. Limitation of Liability

To the maximum extent permitted by law, Gap2Skill and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or business, arising out of or in connection with your use of the Services.

Gap2Skill’s total liability for any claim arising out of or relating to the Services will not exceed the amount you paid to Gap2Skill (if any) in the six (6) months preceding the event giving rise to the claim.

Some jurisdictions do not allow certain limitations; in such cases, the limitations apply to the fullest extent permitted by law.

12. Third‑Party Links

The Website may contain links to third‑party websites or services. Gap2Skill is not responsible for the content, policies, or practices of third‑party sites. We encourage you to review the terms and privacy policies of any third‑party sites you visit.

13. Termination

Gap2Skill may suspend or terminate your account or access to the Services at any time, with or without notice, for reasons including:

• Violation of these Terms;
• Providing false or misleading information;
• Misuse of the Services;
• Compliance with legal or regulatory requirements.

You may terminate your account at any time through your account settings. Certain provisions of these Terms will survive termination, including those relating to intellectual property, indemnification, limitation of liability, and dispute resolution.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of the Commonwealth of Virginia, USA, excluding its conflict‑of‑law principles. If arbitration (as described below) does not apply, you agree that any dispute must be brought in the state or federal courts located in Virginia, and you consent to the jurisdiction of such courts.

15. Agreement to Arbitrate

Except where prohibited by law or if you opt out as described below, you and Gap2Skill agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services will be resolved by binding individual arbitration, rather than in court, conducted in Virginia under the rules of the American Arbitration Association (AAA).

You may opt out of this arbitration agreement by sending a written notice to info@gap2skill.com within thirty (30) days of first accepting these Terms. If you opt out, or if arbitration is found not to apply, Section 14 (Governing Law) will govern any judicial proceedings.

Class actions and class arbitrations are not permitted. You and Gap2Skill may bring claims only in your individual capacity.

16. Miscellaneous

These Terms constitute the entire agreement between you and Gap2Skill regarding the Services and supersede any prior agreements. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.
